PandaTip: This security proposal is written from the perspective of a security company that is offering its security services to a company. PandaTip: In a security proposal, this is a particularly important section. Introduce yourself not as a company, but as a collection of people that share the same concerns as the person to whom you are trying to appeal as you are not simply selling security services but you are also selling a feeling of comfort and protection. You will be the last line of defense in protecting the valuables of the party for whom you will be performing your services and thus you should appeal to the on a personal level.

You can offer them a number of different types of security: vehicle patrol, foot patrol, video and audio monitoring, and round-the-clock response to calls. Lay out the various packages you offer as a company and describe in detail what the other party will be getting if they engage you.
SECURITY CONTRACT TEMPLATE
This Security Contract (the “Contract”) states the terms and conditions that govern the contractual agreement between [COMPANY] having its principal place of business at [ADDRESS] (the “Company”), and [CLIENT] (the “Client”) who agrees to be bound by this Contract.
WHEREAS, the Company offers certain security services and the Client maintains a property located at [ADDRESS] (the “Premises”) and would like to engage the Company for its services according to the terms and conditions herein.
NOW, THEREFORE, In consideration of the mutual covenants and promises made by the parties within this Contract, the Company and the Client (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:
SECURITY SERVICE. The Company shall perform all the services on the Premises as described on Exhibit A attached hereto.
PandaTip: As there may be a wide variety of services offered (see the PandaTip describing the different types of security services on the front page of this security proposal) it is best to free-form type out the understanding. Legalese is never important in such situations, so describe the services in detail along with any special instructions in plain language.
PAYMENT. The Company shall pay the Client [AMOUNT] per [TIME FRAME] in consideration for the performance of the security services described herein. Payments shall be made in [TIME FRAME] increments.
TERM; TERMINATION. The term of this Contract shall last from [START DATE] to [END DATE]. The Client may terminate this Contract for any reason with [NUMBER] days’ written notice to the Company. The Company may terminate this Contract immediately upon written notice to the Client.
PandaTip: As written, the above clause allows you to create an open-ended timeframe if you write in “termination by either Party.”
LIABILITY INSURANCE DISCLAIMER. The Client agrees and acknowledges that the Company does not carry a policy for and shall not insure the Premises against any vandalism or other damage to the Premises caused by any party other than the Company or its agents. The Client agrees and acknowledges that it has been advised to independently seek out such a policy by the Company.
PandaTip: This is an acknowledgment by the Client that the Company does not insure the Premises as part of its services. That is the Client’s responsibility.
INDEMNIFICATION. The Client agrees to indemnify, defend, and protect the Company from and against all lawsuits and costs of every kind pertaining to the Client’s use of the security services including reasonable legal fees due to the Developer’s infringement of the intellectual rights of any third party.
PandaTip: An important clause that protects the Company from lawsuits from third parties as a result of the security services. By way of example, if a third party that was not expressly authorized by the Client enters the premises and the security personnel approaches the person, causing them to run, if they fall and injure themselves, the Client would be on the hook to reimburse the Company for any expenses they incur in legally defending themselves.
NO MODIFICATION UNLESS IN WRITING. No modification of this Contract shall be valid unless in writing and agreed upon by both Parties.
APPLICABLE LAW. This Contract and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of [STATE] and subject to the exclusive jurisdiction of the federal and state courts located in [COUNTY], [STATE].
